When you wish to purchase Purchased Products via the Site,
instead of directly from a Merchant, Wikibuy, LLC will act
on your behalf to find the products that you desire to
purchase and, when you complete the ordering process for a
particular Purchased Product, we will purchase the products
on your behalf from a Merchant that is selling the
applicable Purchased Product (the “Seller”).
In general, the Purchased Products will be shipped directly
to you by the Seller, and Wikibuy, LLC will not take
possession of the Purchased Products. With respect to the
foregoing, you agree to enter into a principal-agent
relationship with Wikibuy, LLC, in which you act as the
principal, and Wikibuy, LLC acts as your agent, consistent
with the law of “Agency.” Agency is generally defined as a
legal relationship founded on an express or implied contract
of two parties, by virtue of which one party, the agent, is
authorized to act for the other party, who is the principal.
YOU ARE SOLELY RESPONSIBLE FOR DETERMINING AND PAYING THE APPROPRIATE GOVERNMENT TAXES, FEES, AND SERVICE CHARGES RESULTING FROM A TRANSACTION OCCURRING THROUGH THE SERVICE. WE ARE NOT RESPONSIBLE FOR COLLECTING, REPORTING, PAYING, OR REMITTING TO YOU ANY OF THOSE TAXES, FEES, OR SERVICE CHARGES, EXCEPT AS MAY OTHERWISE BE REQUIRED BY LAW. YOU ACKNOWLEDGE THAT, EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW, WIKIBUY, LLC DOES NOT COLLECT TAXES FOR REMITTANCE TO APPLICABLE TAXING AUTHORITIES IN CONNECTION WITH PURCHASED PRODUCTS. THE TAX RECOVERY CHARGES ON PURCHASED PRODUCTS ARE A RECOVERY OF THE ESTIMATED SALES TAXES THAT WIKIBUY, LLC IS REQUIRED PAY TO THE APPLICABLE SELLER FOR TAXES DUE ON THE PURCHASED PRODUCT. THE SELLERS INVOICE WIKIBUY, LLC FOR CERTAIN CHARGES, INCLUDING TAX AMOUNTS. SELLERS ARE RESPONSIBLE FOR REMITTING APPLICABLE TAXES TO THE APPLICABLE TAXING JURISDICTIONS. WIKIBUY, LLC DOES NOT ACT AS A CO-VENDOR WITH THE APPLICABLE SELLER FOR A PARTICULAR PURCHASED PRODUCT. TAXABILITY AND THE APPROPRIATE TAX RATE VARY GREATLY BY LOCATION. THE ACTUAL TAX AMOUNTS PAID BY WIKIBUY, LLC TO SELLERS MAY VARY FROM THE TAX RECOVERY CHARGE AMOUNTS, DEPENDING UPON THE RATES, DELIVERY LOCATION, TAXABILITY, ETC. IN EFFECT AT THE TIME OF THE ACTUAL SHIPMENT OF A PURCHASED PRODUCT TO YOU. Referral-Based Wikibuy Credits. Wikibuy, LLC may, from time to time, offer referral-based Wikibuy Credits. To be eligible for a referral-based Wikibuy Credit: (a) you must refer one new user to the Service (said new user is subject to verification by Wikibuy, LLC, including to verify that such new user may not have previously used the Service, is a real person, and meets the eligibility requirements set forth in Section 2 of these Terms); (b) said new user must enroll in an account with the Service; and (c) said new user must make a Qualifying Purchase of products via the Service within thirty (30) days or, if shorter, the specified promotion period since enrolling in a new account in the Service. A “Qualifying Purchase” must at least be a completed transaction and non-refunded, uncancelled purchase of at least one product via the Service using a valid payment method. Any offer of referral-based Wikibuy Credits is a limited time offer and is subject to change at Wikibuy, LLC’s discretion. Issuance of Wikibuy Credits may be delayed during the determination of whether a Qualifying Purchase has been made by a new user. You may only obtain one referral-based Wikibuy Credit for each new user that you refer to the Service. You may only obtain a referral-based Wikibuy Credit for the first Qualifying Purchase made by a new user, and not based on any subsequent purchases. If you attempt to obtain any Wikibuy Credits based on fraud or deceit, including through creating multiple or duplicate accounts, solely or in concert with others, for the purpose of obtaining Wikibuy Credits, Wikibuy has the right to terminate your access to the Service immediately.
